MONROE AREA CLOUDBUSTERS
BY-LAWS
(Revised March 11, 2005)
ARTICLE I: GENERAL
Section 1: Name
A. The name of this organization shall be the "MONROE AREA CLOUDBUSTERS RADIO CONTROL CLUB".
Section 2: Object
A. To encourage interest in radio control modeling.
B. To provide instruction for the novice.
C. To promote the good name of radio control modeling to the community.
D. To foster an exchange of ideas on radio control modeling.
Section 3: Membership
A. Any individual of at least 18 years of age shall be eligible for membership.
B. To attain regular membership, the individual must first attend three consecutive meetings. At the third meeting, a motion may be made to accept him/her as a member. The meeting requirements may be waived at the discretion of the executive board (work requirements, etc.).
C. Election into membership requires a vote of members present at a meeting.
D. All members must have a valid AMA license before flying.
E. The children under 18 years of age of a regular member shall be considered junior members. If a person under the age of 18 wishes to become a junior member of the club, and neither parent is a regular member, he/she may be sponsored by a regular ADULT member in good standing in "LOCO PARENTIS ".
F. Junior members will not be required to pay dues and will not have a vote in club matters. If a junior member wishes to participate for prizes, he/she must pay any applicable entry fee.
G. At such time a junior member indicates the desire, he/she may elect to apply for regular membership into the club.
H. Regular members should make every effort to attend a minimum of one meeting per month.
I. The total membership number shall be established by a motion passed by 2/3 vote of the members present providing there is a quorum.
J. A person may be elected to "Honorary Membership" status in the following manner.
1. He/She must be recommended by the executive board.
2. He/She must be elected by the regular membership by 2/3 vote of the members present providing there is quorum.
K. An Honorary Member shall have no vote, pay no dues, nor hold any office of the club.
He/She may participate in all club activities.
LIFE MEMBERSHIP
Definition: A life member is a Regular member who through many years of membership, has contributed to the club above and beyond the considered normal requirements. Life Membership is not to be considered a retirement program. To be chosen as a Life Member by your Trustees is to be considered the highest honor that can be bestowed upon you by the Monroe Area Cloudbusters R/C Club.
Requirements: To become a Life Member, the following criteria must be met:
A. Must be a regular member in good standings and meet the AMA requirements of a regular member for flying privileges.
B. Must have been a member in the club for minimum of (10) years.
C. Any member in good standings may recommend a candidate to become a Life Member to the Board of Trustees. This
Recommendation must be submitted in writing describing the candidates’ qualifications. All recommendations must be submitted to the Board of Trustees no later than August 31 of the calendar year.
D. They will be chosen by the Board of Trustees each tear from zero (0) to two (2) Life Members. The selection of the Life Member is not to be construed as mandatory. The Board of Trustees may choose at its discretion to reject a submitted Life Member recommendation and or at its discretion may elect to choose their own candidate (s) for Life Membership. This selection will be by vote of the Board of Trustees and a simple majority will elect the new Life Member(s).
E. The Board of Trustees has the responsibility to not disclose the name (s) of the chosen candidates for Life Membership to anyone other than the Banquet Chairman.
F. The Life Member receives the following privileges, benefits and awards:
1.) The chosen Life Member (s) will receive an appropriately engraved plaque. This item will be awarded at the time of the annual club banquet. The candidate (s) qualifications will be presented at that time.
2.) He/She has all privileges of a Regular member.
3.) He/She does not have any meeting attendance requirements.
4.) Life Members will be in addition to the maximum number of Regular members. (03/01)
5.) The Life Member shall pay no dues.
ARTICLE ll: ADMINISTRATION
Section 1: Election of officers
A. The organization will hold an election of officers on the first meeting of September of each year.
B. Officers may hold the same office for no more than two terms. Exceptions require a 2/3 vote of the members present, provided there is a quorum.
C. One term of office shall be considered as one calendar year. The one exception is that of treasurer, that one term being two calendar years.
D. The election shall be held by secret ballot.
Section 2: Nominations
A. A nominating committee consisting of three members, shall be appointed by the commander at the meeting held the fourth Tuesday of July of each year.
B. The nominating committee will submit a slate of candidates on the second Tuesday of August for the offices of Commander, Vice-Commander, Operations Officer, Training Officer, Secretary, Treasurer, Field Officer and one member for the Board of Trustees.
C. The members named for the offices shall be, in the opinion of the nominating committee the logical person to lead the club for the following year.
D. Nominations from the floor for any office shall be accepted at the election meeting.
Section 3: Vacancies
A. Whenever a vacancy occurs in any of the elected offices for a cause such as death or resignation, nominations for the vacant office shall be made and an election held at the next regular meeting, unless extenuating circumstances prevail.
B. The person elected shall fill the unexpired term only. This person shall be eligible to run for re-election.
Section 4: Removal from office
A. Impeachment Proceedings for misconduct and/or dereliction of duty may be instituted by petition, signed by eight members in good standing.
B. Upon receipt of this petition by the Executive Board, the entire membership shall be notified by mail immediately.
C. The pending impeachment will be brought to a vote no less than twenty-one (21) days following this notification.
D. Impeachment will be decided by 2/3 vote of the members present providing there is a quorum. Voting shall be by secret ballot.
Section 5: Removal from Membership
A. Removal proceedings may be instituted by petition signed by eight members in good standing. Petition must state reason for removal. This petition must be presented at a regular meeting.
B. Upon receipt of this petition the entire membership shall be notified by mail immediately.
C. The member under consideration shall be notified personally by the Commander and Vice-Commander.
D. Not less than twenty-one days following notification, removal will be decided upon. At this time said member may show cause why he/she should not be removed
E. Removal requires a 2/3 vote of the membership present at a meeting at which there is a quorum.
F. Voting will be by secret ballot.
Section 6: Meetings
A. One business meeting and one social meeting shall be held on the second and fourth Tuesday of each month respectively. During winter months there shall be one meeting per month. The second Tuesday of November, December, January, February, March and April; remainder of months there shall be two meetings per month.
B. Special meetings shall be called by the Commander seven days following notification by mail.
C. On rare occasions, an immediate emergency meeting may be necessary, if so; each member shall be notified by phone.
Section 7: Conduct of Business
A. In any situation not covered by these by-laws, "Roberts Rules of Order" shall govern the deliberations of the club.
B. The Order of Business shall adhere to the following procedures:
1. Call meeting to order.
2. Roll call.
3. Introduction of guests.
4. Reading of the minutes of the last meeting.
5. Commanders report.
6. Vice-Commanders report.
7. Operation Officers report.
8. Training Officers report.
9. Treasurers report.
10. Field Officers report.
11. Trustees report.
12. Standing Committees report.
13. Old business.
14. New business.
15. Election of officers (when needed).
16. Adjournment.
Section 8: Quorum
A. A Quorum shall consist of 25% of all members in good standing plus four officers as defined in ARTICLE lll of these by-laws.
ARTICLE lll: OFFICERS AND COMMITTEES
Section 1: Commander
A. The Commander shall preside at all meetings of the club at which he/she is present.
B. He/She shall act for the club in matters of business which do not involve policy that require action by a vote of the membership.
C. He/She shall be circumspect in the exercise of this authority, but he/she shall consider that the confidence given him/her is sufficiently broad to enable him/her to act for the club in matters that require prompt or summary actions.
D. He/She shall call a special meeting upon written request of not less than ten percent of the membership, or at other times when he/she deems it necessary.
E. As Commander he/she shall cast a vote at all meetings where voting is used on membership motions or elections.
F. He/She shall appoint committees and otherwise delegate authority.
Section 2: Vice-Commander
A. The Vice-Commander shall preside at all meetings at which the Commander is absent.
B. During the absence or incapacity of the Commander or when specially requested by the Commander, he/she shall act for him/her in all matters of business which do not involve policy requiring action by vote of the membership.
C. He/She shall be governed in the exercise of his/her authority by the same consideration given the Commander.
D. He/She shall be an ex-officio member of all committees, using this position to expedite action of the committees.
E. He/She shall sit at the right hand of the Commander at all meetings.
Section 3: Secretary
A. He/She shall record the minutes of each meeting including all board meetings.
B. He/She shall maintain attendance records of each meeting (as needed).
C. He/She shall be prepared at each meeting to read the minutes of the previous meeting
D. He/She will, when directed by the Commander, make any mailing necessary to the club.
Section 4: Treasurer
A. The Treasurer shall keep a record of all funds and property of the club.
B. He/She shall record all Monies received and disbursed.
C. He/She shall assume the responsibility of all club funds and he/she will open a checking account. All withdrawals will be by check only.
D. He/She shall make a report of the club finances at each meeting. He/She shall give, in duplicate, a record of all transactions to the Commander and Secretary.
Section 5: Training Officer
A. The Training Officer shall exercise supervision over all educational and training activities of the club.
B. He/She shall establish a weekly training night in order to work specifically with new nonsoloed flyers.
C. He/She shall be responsible for obtaining qualified instructors for the club.
Section 6: Operations Officer
A. He/She is responsible for all group activities.
B. He/She shall organize any activities which might involve a group of members.
C. He/She shall report to the membership at each meeting; the dates, times and requirements of all coming events. He/She will make a detailed report on each operation.
D. He/She will be Contest Director.
Section 7: Field Officer
A. He/She is responsible for the enforcement of the field rules and regulations.
B. He/She is responsible for the care and maintenance of the flying field and related equipment.
C. He/She shall be in charge of organizing work parties when need be.
D. He/She shall make a report to the membership at each meeting about the field operations.
Section 8: Membership Secretary
A. He/She shall maintain attendance records of each meeting.
B. He/She will collect and record all monies taken in on membership.
C. He/She will turn over all monies to the Treasurer for deposit.
D. He/She will make a report of all delinquent members to the commander at the first meeting of each month.
Section 9: Committees
A. The Commander shall appoint committees, standing or temporary as may be necessary for the proper conduct of business.
ARTICLE lV: BOARD OF TRUSTEES
Section 1: Purpose
A. The Board of Trustees shall serve in an advisory capacity to the club and its members.
Section 2: Election of the Board of Trustees
A. The board shall consist of three members. One board member shall be elected each year.
B. Each board member shall serve for three years.
C. The Chairman of the Board shall be the member serving his/her final year of his/her term.
ARTICLE V: FINANCES
Section 1: Application Fee
A. The application fee shall be $10.00. This fee will be assessed one time payable upon acceptance into the club.
B. All terminated members must also submit an application and pay $10.00 fee for re-entry to the club.
C. Application fee is refundable for rejected applications only.
Section 2: Dues
A. Dues shall be $40.00 per year.
B. Dues must be paid in total. The payment is due January 1st. If dues are not paid within 30 days after due date, membership will be terminated (pending boards discretion).
C. Dues for the spouse and children of the master member who join as regular members shall be $20.00 per year. They also shall pay the regular application fee.
D. Dues for a new member who joins in the middle of a six month period shall be pro-rated.
E. Dues for all senior members who reach the age of 62, shall be reduced by 50% or in special cases, at the boards discretion.
Section 3: Refunds
A. No member who has separated from the club shall be entitled to a refund of dues or application fee.
Section 4: Assessments
A. Special assessments may be passed by a 2/3 vote of the members present at a meeting at which there is a quorum. This assessment shall not exceed $100.00 per member.
Section 5: AMA Charter Fee
A. As of January 1, 1985, AMA Charter Fee is not required for individual members.
Section 6: Permissible Expenditures
A. The Executive Board may make any expenditure up to $100.00 without a vote of the membership.
ARTICLE Vl: AMENDMENTS
Section 1: Procedure
A. Amendments may be proposed by any regular member in good standing.
B. The amendments may be proposed only by submitting a written request to the Commander.
C. The club membership shall be notified in writing of the proposed amendment. The club newsletter "Flight Line" shall be used for this purpose. The proposed amendment shall be included in the issue of the "Flight Line" immediately following the meeting at which it was proposed and read. The proposed amendment shall be highlighted so as to attract the attention of the members.
D. An amendment to these by-laws may be accomplished by a 2/3 vote of the members present, provided there is a quorum, at a meeting that has been convened at least twenty one days after the proposed amendment was read.
